Terms of Use
You have been registered by your employer or other sponsor (“Client”) as an Authorised User of Delphius. We have an agreement in place with the Client under which we provide it with access to Delphius. You warrant that the Client has allocated one of its user subscriptions to Delphius to you.
As an Authorised User you are required to note and observe the following Terms.
1 WHO ARE WE?
1.1 We are, Lewis Silkin LLP, a limited liability partnership law firm registered in England under number OC317120 having its registered place of business at Arbor, 255 Blackfriars Road, London, England, SE1 9AX. We are authorised and regulated by the Solicitors Regulation Authority in England and Wales under registration number 439493.
2 WHO IS IUS LABORIS?
2.1 Ius Laboris is an international alliance of leading legal service providers in, inter alia, employment, immigration and pensions law.
3 WHAT IS DELPHIUS?
3.1 Delphius (Delphius, or “the Delphius Platform”) is a specialist knowledge platform for international employment law. By pairing regularly updated knowledge from in-country experts (including the Global HR Law Guide, and other international employment-related content, previously approved and reviewed by either Lewis Silkin, or Ius Laboris) with smart, AI-powered search, Delphius provides instant answers to employment law queries across 50+ jurisdictions. Any materials and the researched and/or collated results within Delphius are to be considered as “Materials”.
3.2 We (and our licensors as applicable) are the owner or the licensee of all intellectual property rights in the platform and the Materials, including without limitation all trademarks, copyrights, database rights and other intellectual property rights of any nature and all underlying software code. Your use of such intellectual property rights in the Delphius Platform and Materials is subject to these Terms and you do not acquire any intellectual property rights in the Delphius Platform or the Materials other than as expressly set out in these Terms and our contract with the Client.
4 IS THIS A LEGAL SERVICE?
4.1 No. Delphius is not a legal service – it is a platform to access legal information.
4.2 Accordingly:
4.2.1 Neither use of Delphius nor the Materials accessed, searched and/or collated constitute the provision of any form of legal advice.
4.2.2 The Materials available from Delphius are provided for reference purposes only. They are not intended, nor should they be used as, a substitute for professional advice to address particular circumstances.
4.2.3 You should obtain independent verification or advice before relying upon any Materials.
4.2.4 Should your use all, or a portion of the Services or Materials to provide information or advice, you do so at your own risk.
4.3 Materials (whether source or as are created in Delphius) may be added or withdrawn or unavailable from time to time and otherwise changed without notice.
4.4 You recognize and accept that we do not undertake any obligation to consider whether the Materials in Delphius are either sufficient, up to date or appropriate for any particular or actual user circumstances.
4.5 Use of Artificial Intelligence (AI)
4.5.1 Some of the functionality of, or Materials in, Delphius utilize AI algorithms and technologies, including generative AI, to provide various features, including content creation such as summaries. Search results may be provided based on natural language queries or prompts that Authorised Users provide while accessing the functionality of, or Materials in, Delphius.
4.5.2 AI systems may not always be accurate or error free, you are responsible for verifying and cross-referencing any information provided in Delphius.
4.5.3 AI is not a substitute for professional advice including legal, or other specialised advice.
4.5.4 The output of the portion of the functionality of or Materials powered by or utilising generative AI capabilities in Delphius may include components protected by copyright or other intellectual property rights.
4.5.5 You recognise and accept that in utilising the portion of the functionality of, or Materials in, Delphius powered by or utilising generative AI capabilities that we may provide responses to the same or similar queries raised by other Authorised Users.
5 ACCEPTABLE AND NON-ACCEPTABLE USE
5.1 You are permitted to:
5.1.1 search, view and electronically display the Materials for your own research purposes via manually conducted, discrete, individual search and retrieval activities; and
5.1.2 make copies or authorised printouts, copy, revise, customise and use the applicable Materials on a reasonable and non-systematic basis that is not commercially prejudicial to us, provided always that such use shall only be for the Client’s internal business purposes.
5.2 You are not, in any way, permitted to:
5.2.1 attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the functionality of or Materials available through accessing Delphius in any form or media or by any means;
5.2.2 attempt to de-compile, reverse compile, disassemble, reverse engineer all or any part of Delphius;
5.2.3 access or use all or any part of Delphius to build a product or service which competes with Delphius or Materials;
5.2.4 use Delphius to provide services to third parties;
5.2.5 allow other third parties to use Delphius;
5.2.6 license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make Materials available through accessing Delphius available to any third party;
5.2.7 use the Materials available through accessing Delphius in any manner that infringes our or our licensors copyright or intellectual property interests;
5.2.8 provide any access to the Materials available through accessing Delphius by robotic or automated means;
5.2.9 remove any copyright or other notices in Delphius or contained in the Materials available through Delphius;
5.2.10 use the Materials available through accessing Delphius to train large language or other artificial intelligence or machine learning models;
5.2.11 use Delphius to further any illegal or criminal activity;
5.2.12 use Delphius or input to store, access, publish, disseminate, modify, distribute or transmit any material which:
(a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
(b) facilitates illegal activity;
(c) depicts sexually explicit images;
(d) promotes unlawful violence;
(e) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
(f) is otherwise illegal or causes damage or injury to any person or property;
5.2.13 input confidential information or personal or sensitive personal information which might:
(a) identify parties involved in a particular matter or dispute; or
(b) breach any legal or professional duty; or
5.2.14 use or exploit Delphius to:
(a) manipulate identifiers to disguise or otherwise conceal the origin of messages or content posted;
(b) facilitate concealment of or misrepresentation of any person’s identity;
(c) promote spam;
(d) knowingly facilitate the dissemination of viruses or other malware;
(e) probe, scan or test the vulnerability of Delphius and/or Delphius and/or the technical infrastructure;
(f) disrupt or tamper with any technical or network infrastructure relating to Delphius;
(g) perform, extract, scrape, harvest or otherwise obtain information or data from Delphius or the Materials except as permitted by the normal use of Delphius or Materials as described in clause 5.1 or as otherwise expressly agreed to in writing by Lewis Silkin.
6 AVAILABILITY OF DELPHIUS
6.1 Features or functionality in Delphius may be added or withdrawn or changed from time to time without notice. Continued use of Delphius or Materials following any change constitutes acceptance of the change. We reserve the right to terminate, withdraw, cancel, amend or suspend your login credentials and/or the Delphius Platform for any reason. On the termination or expiry of these Terms, you will stop using the Delphius Platform and the Materials and will purge all Materials from your systems and files.
6.2 We shall use commercially reasonable endeavours to make Delphius available at all times during London business hours, except for during any maintenance periods, subject to:
6.2.1 Delphius is provided on an “as is” and “as available” basis. We do not undertake that use of Delphius shall always be entirely error free or without interruption. In particular, an outside event beyond our reasonable control, including without limitation failure of public or private telecommunications networks, may affect availability or functionality;
6.2.2 technical support is available between 9am and 5:30pm UK time, Monday to Friday (public holidays in England excepted). You will not receive a response outside of these hours; and
6.2.3 maintenance or improvements which may involve downtime or a restriction on functionality. We endeavour to undertake such activities at times to minimize any downtime or restriction of functionality, but no liability is accepted for any inability to access Delphius due to any such downtime or service restrictions.
7 HOW WE MAY USE YOUR PERSONAL INFORMATION
7.1 For information about how we process your personal data relating to your Subscription for the provision of Services please see our Privacy policy.
8 GENERAL
8.1 We may update these Terms time to time. Your continued use of Delphius shall constitute your acceptance to these Terms, as varied. If you do not wish to accept the varied Terms you must immediately stop using and accessing Delphius.
8.2 We may transfer our rights and obligations under these Terms to another organisation. You will not transfer your rights or your obligations under these Terms to another person or entity unless We give our prior written consent.
8.3 These Terms do not confer any rights on any person or party (other than you and Us and, where applicable, our successors and permitted assigns) pursuant to the Contracts (Rights of Third Parties) Act 1999.
8.4 No failure or delay by a party to exercise any right or remedy provided under these Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.
8.5 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
8.6 If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this Clause shall not affect the validity and enforceability of the rest of these Terms.
